Welcome to Surgepix. This Agreement takes legal effect from the moment you begin using this Platform and become a registered user. This Agreement includes the usage policy for Surgepix Platform content and the Surgepix Privacy Policy. Before using any services provided by Surgepix, please read this Service Agreement carefully. If you disagree with this Service Agreement or any modifications to it, you may actively cancel the services provided by Surgepix. Once you use Surgepix services, it is deemed that you have understood and fully agreed to all terms of this Service Agreement and have become a Surgepix user (hereinafter referred to as 'User').

I. Introduction

1.1 Mission

Surgepix is an AI-powered visual creation platform that combines AI image generation with layer-based editing. The platform enables marketers, designers, and storytellers to turn ideas into visuals without any design skills required, with the goal of making professional visual creation accessible to everyone.

1.2 Effectiveness and Modification of the Agreement

This Agreement takes legal effect when you begin using this Platform and become a registered user. Once you use Surgepix, you are deemed to have fully authorized Surgepix to obtain, compile, organize, and provide public and proprietary data on your behalf. Regardless of any other agreement, registering a Surgepix account means the user has accepted all terms and conditions of this Agreement and all modifications made by Surgepix at any time, and agrees to be bound by the existing and periodically updated or newly issued user service terms, privacy policy, and other rules and systems of the Surgepix Platform. The user understands and agrees that Surgepix has the right to modify and/or supplement the aforementioned terms and conditions at any time based on business functions, usage rules, laws and regulations and regulatory requirements, better service provision, operational strategies, and other reasons, and only needs to publish them on its official website without prior user consent and without separate user notification; the modified terms and conditions take effect immediately upon publication. If the user disagrees with Surgepix's modifications to the relevant terms of this Agreement, the user should stop using the services. If, after Surgepix modifies the relevant terms and publishes them on the platform, the user continues to use the services, it shall be deemed that the user has accepted the modified terms.

Surgepix consistently adheres to the principle of providing users with lawful and compliant services. Due to force majeure such as changes in relevant laws and regulations, Surgepix has the right to adjust or restrict certain functional access for overseas (i.e., outside mainland China) users at any time, including but not limited to search functions, data export, report downloads, etc. Please take timely measures to avoid personal losses.

II. Obligations

2.1 Service Eligibility

To use the 'Service', you agree that:

• (1) You must be at least 18 years of age. Minors (under 18) are prohibited from providing any personal information to this Platform or using this Service.
• (2) You may only have one Surgepix account.
• (3) Surgepix has the right to restrict your use of the 'Service' in accordance with laws and regulations or under reasonable circumstances.
• (4) In order to ensure that you use the services in compliance with laws and the provisions of this Agreement, you agree to accept supervision and inspection of your use of Surgepix services by national regulatory authorities and Surgepix. Surgepix has the right, on its own initiative or at the request of national authorities, to conduct risk assessments, monitoring, inspections, and audits of the services you enjoy. For matters involving privacy information, we will take reasonable protective measures. You agree to cooperate. If you refuse, Surgepix has the right to suspend services to you until you cooperate and Surgepix confirms that your use of Surgepix services complies with laws and the provisions of this Agreement.
• (5) You may not use the service information obtained through Surgepix services or products, or the services themselves, for any commercial purpose unless you have obtained Surgepix's permission. You may not sell service information obtained while using Surgepix services, or the services themselves, to third parties or otherwise provide them for profit-seeking purposes. Otherwise, Surgepix has the right to suspend services to you and pursue legal liability.

  2.2 Membership Qualifications and Obligations

  After completing the registration process for this service, you shall bear full responsibility for all security and activities under your account. You agree that:
  If your password or account is subject to unauthorized use, or if any other security issue occurs, you will immediately notify Surgepix. Users may not engage in non-human continuous or frequent query operations while using the service; otherwise, our backend system will automatically suspend your account with no liability to you. If you temporarily do not need to perform query operations, please actively log out safely to protect your account security. If you fail to act as prescribed above, you shall bear full responsibility for any actions taken by any person using that password and account, and any improper operations you conduct. Surgepix shall not bear any responsibility for any loss or damage arising therefrom.
  Users may not modify, adapt, translate, or create derivative works from our series of products and services, nor obtain source code from our products and services through decompilation, reverse engineering, disassembly, or other means. If such behavior occurs, we have the right to terminate service provision and reserve the right to claim damages from the user. If the user's actions constitute a criminal offense, the matter will be referred to judicial authorities.
  During the use of Surgepix software and related services, we may ask you to provide or authorize us to collect your personal information, including but not limited to your name, phone number, and email address. You have the right to refuse to provide this information or to withdraw your consent to its use. Please be aware that refusing or withdrawing consent may result in your inability to use the Surgepix platform or certain specific functions thereof.
  Without your consent or as required by laws and regulations, we will not share, provide, or transfer your personal information, query records, or usage habits to third parties.

  2.3 Membership Service Terms

  (I) How to Become a Member

• (1) You must first register as a Surgepix user by providing true and accurate information. The content and personal information you fill in must be genuine and valid; otherwise, we have the right to reject your application or revoke your membership, without any compensation or refund of membership fees. If a member's personal information changes, the registered information should be updated promptly; otherwise, the member bears sole responsibility for any inability to fully and effectively exercise membership rights as a result. Surgepix has the right to cancel your membership and will not refund membership fees or provide any other form of compensation.
• (2) Users may become Surgepix members through various existing and future channels by making payment as prompted by Surgepix products. When using a specific method to become a member, users must read and confirm acceptance of the relevant service terms and usage methods. Surgepix hereby declares: no third party is authorized to sell Surgepix memberships, nor are memberships sold on any third-party platform. Surgepix has the right to reclaim any membership accounts purchased through non-Surgepix channels and to pursue legal liability accordingly.
• (3) The ownership of Surgepix member accounts belongs to Surgepix; members have limited usage rights to their Surgepix accounts. After becoming a member, you have the right to decline Surgepix services by contacting customer service to cancel membership services, but membership fees are non-refundable.

  (II) Service Description and Account Inquiry

• (1) When a member uses any individual Surgepix service, the member's use of that service is deemed to constitute acceptance of the service terms for that individual service and all announcements issued by Surgepix in connection with that service.
• (2) You expressly understand and agree that the payment method for Surgepix memberships is through a payment collection agency (托收). Paying through this method may involve certain commercial risks, including but not limited to illegal actors exploiting your account or bank cards for unlawful activities, which may cause you corresponding financial losses. You shall bear responsibility for pursuing infringement liability from the infringing party and the consequences of being unable to do so.
• (3) You are solely responsible for properly and correctly managing, using, and maintaining the accounts, account information, and account passwords you have obtained through Surgepix. Surgepix shall not bear any liability for any losses caused by password leaks not attributable to Surgepix, or by your improper management, use, or maintenance.
• (4) Surgepix does not assume any responsibility for losses caused to you by the actions or omissions of third parties, including but not limited to payment services and network access services, or any infringement by any third party.
• (5) Once you become a Surgepix member, you are deemed to have recognized the price indicated for that service. After becoming a Surgepix member, that service takes effect immediately. The value-added service standard for members is subject to the detailed price list indicated on the Surgepix platform. You may log in to the Surgepix Member Center to query your account information details free of charge.

  (III) Member Obligations

• (1) Membership services have a fixed service term; once you become a member, you are deemed to have recognized the service term. Membership services are limited to use by the account holder only; during the membership service period, they may not be transferred between Surgepix accounts and may not be gifted, lent, transferred, or sold. Otherwise, Surgepix has the right to cancel the membership service eligibility of both the transferring and receiving accounts without notice, and any losses arising therefrom shall be borne by the member.
• (2) If a member's behavior persistently violates this Agreement or violates relevant national laws and regulations, or if Surgepix believes that a member's behavior harms the reputation or interests of Surgepix or others, we have the right to cancel that member's membership without providing any compensation.
• (3) All information within Surgepix may not be used for buying, selling, or exchange purposes. Any disputes arising therefrom shall be borne by the actor; Surgepix shall not bear any responsibility.
• (4) No member may use a nickname or comments containing illegal, obscene, insulting, or personally attacking content. Upon discovery, Surgepix has the right to cancel the member's membership without providing any compensation or refund.

  2.4 Notifications and Service Information

  Surgepix will contact you through email or SMS messages published on the platform, including emails introducing the various features of this service to new users. You will receive emails or SMS notifications from Surgepix regarding your account, including notifications about opportunities shared by other users in your network. Surgepix may send you promotional information, unless you choose not to receive such information.

  2.5 Information and Sharing

  Surgepix services provide various ways to send and share information. We have no obligation to publish all information or content related to your use of Surgepix services, but may at our discretion delete information or content in accordance with laws and regulations or under reasonable circumstances, without sending notice.

  III. Disclaimers and Other Warranties

  3.1 Disclaimer

  (1) Surgepix shall not be liable for any delays, stagnation, or errors in the information and data provided by this platform, or any losses suffered by users as a result, caused by any unforeseeable, unavoidable, insurmountable, or uncontrollable events ('Force Majeure Events') affecting normal network operation, including government prohibitions, changes in applicable laws or regulations currently in effect, fire, earthquake, civil unrest, war, power outages, communication line interruptions, hacker attacks, computer virus infiltration or outbreaks, technical adjustments by telecommunications authorities, temporary platform closures due to government regulation, deliberate sabotage by others, negligence or misuse by Surgepix personnel, routine system maintenance or upgrades, or platform inaccessibility due to network congestion.
  (2) When using Surgepix 'Services', you may encounter inaccurate, incomplete, outdated, misleading, illegal, offensive, or harmful content or information. It is difficult for Surgepix to review whether every piece of content or information submitted by users falls into the above categories. Our platform only identifies and responds to user-submitted query requests; it is the user's responsibility to determine whether the content found matches the subject of the query. Our platform has no obligation to verify the authenticity of the identification results themselves. The data results returned by the platform do not constitute any express or implied opinions or warranties by us to any person. For query results, please refer to the information published on the official platform. Accordingly, you agree that we are not responsible for content or information provided by third parties (including other users), nor for any losses caused by your use of or reliance on such content or information. If you believe that such content or information exists on the Surgepix platform, please promptly notify Surgepix in accordance with the procedures prescribed by laws and regulations so that it can be handled in a timely manner. Our information is sourced from public information; we make no express or implied commitments or guarantees. You agree not to use our services as the basis for asserting any rights. Once any violation of usage rules is discovered, we will stop providing services to you.
  (3) Surgepix will provide your personal information as required by law or relevant government policy.
  (4) 'UGC' content within Surgepix is entirely created by users and serves as a platform for user introductions and reviews of the things and phenomena referred to by company names. 'UGC' content represents only the author's views and is unrelated to Surgepix. Except as otherwise provided by law, all responsibility arising from the authenticity of user statements shall be borne by the users themselves; Surgepix shall not bear any responsibility.
  (5) Network conditions, communication lines, third-party platforms, or any other reason causing your inability to use Surgepix normally.
  (6) Usage methods or disclaimer circumstances listed by Surgepix in each service term and statement.

  3.2 No Warranties

  (1) Surgepix cannot guarantee the following:
  (2) You should consider and bear all risks on your own when using this Service or obtaining any data. Any damage to your computer system or data loss caused by downloading any data is your own responsibility.
  (3) Any advice or information you obtain from Surgepix or through this Service, whether in written or oral form, shall not constitute any warranty beyond the terms of this Service Agreement unless expressly provided in the Service Terms. By agreeing to this Agreement, you are deemed to have agreed to the foregoing no-warranty terms.

  3.3 Fee Refund Policy

  Membership services are online and virtual goods. The fees you pay are the prices for the online goods corresponding to the membership services you have purchased, and are not prepayments, deposits, earnest money, or savings card deposits. Membership services are non-refundable once activated (except where the membership service has a material defect rendering it completely unusable or in other cases of Surgepix breach of contract, where this Agreement provides otherwise, where laws and regulations require a refund, or where Surgepix agrees to a refund). Surgepix hereby specially reminds you to carefully verify the account information, purchased service content, price, and service term before purchasing membership services.

  IV. Intellectual Property Ownership

  Unless otherwise declared by Surgepix, all intellectual property rights (including but not limited to copyright, trademark rights, patent rights, and trade secrets) and related rights to all products, technologies, software, programs, data, and other information (including but not limited to text, images, diagrams, layout designs, and electronic documents) on the Surgepix platform belong to Surgepix.
  Without written authorization from Surgepix, no person may without permission obtain or use Surgepix platform data, information, or materials (including but not limited to in unreasonable or unlawful ways such as crawling, copying, distributing, displaying, mirroring, uploading, or downloading other than through purchasing from Surgepix), or otherwise affect Surgepix's normal services in an improper manner. No person may use software programs to automatically obtain Surgepix data without authorization; otherwise, Surgepix will pursue legal liability in accordance with the law.

  V. Termination of Service

  The user or Surgepix may suspend services based on actual circumstances. Surgepix may suspend services without being liable to any individual or third party. If a user objects to any service term proposal or disputes subsequent modifications to the terms, the user has the following recourse:
• • 1) That the Service fully meets your requirements;
  • 2) That the Service will be uninterrupted, timely, secure, reliable, or error-free;
  • 3) That the results obtained from using the Service are accurate and reliable;
  • 4) That any products, services, information, or other materials purchased or obtained through the Service meet your expectations;
  • 5) That any errors in the software will be corrected.
• (1) Not use Surgepix services;
• (2) Notify Surgepix to stop services for that user.
  After termination of user services, the user's right to use Surgepix services terminates immediately, and Surgepix no longer bears any obligations to the user.

  VI. Member Disputes

  Surgepix reserves the right, but has no obligation, to monitor and handle disputes between you and other members.

  VII. User Conduct

  7.1 Required Actions

  By agreeing to this Agreement, you are deemed to comply with the following:
• (1) Comply with laws, regulations, and relevant departmental rules;
• (2) Provide accurate information and update it in a timely manner;
• (3) Use a genuine and lawful identity for account use;
• (4) Use the 'Service' in a professional manner;
• (5) Do not use Surgepix services illegally; ensure they are used for legitimate purposes such as lawful visual creation, design, and content production; do not endanger national security.

  7.2 Prohibited Actions

  By agreeing to this Agreement, you are deemed to commit to not engaging in the following acts:
  (1) Upload, display, post, distribute, or otherwise transmit information containing any of the following (including but not limited to images, text, videos, links, music, etc.):
• • 1) Content that opposes the fundamental principles of the Constitution;
  • 2) Content that endangers national security, discloses state secrets, subverts state power, or undermines national unity;
  • 3) Content that damages national honor and interests;
  • 4) Content that incites ethnic hatred, ethnic discrimination, or undermines ethnic unity;
  • 5) Content that undermines national religious policies or promotes cults or feudal superstitions;
  • 6) Content that spreads rumors, disturbs social order, or undermines social stability;
  • 7) Content that spreads obscenity, pornography, gambling, violence, murder, terror, or instigates crimes;
  • 8) Content that insults or defames others or infringes upon others' lawful rights;
  • 9) Content that is false, fraudulent, harmful, threatening, invasive of others' privacy, harassing, infringing, defamatory, vulgar, obscene, contrary to public order and good morals, or otherwise morally objectionable;
  • 10) Content restricted or prohibited by Chinese laws, regulations, rules, ordinances, and any legally effective standards.
• (2) Use the network service system for any illegal purpose;
• (3) Maliciously register Surgepix accounts;
• (4) Engage in the following activities through Surgepix services:
• • 1) Access computer information networks or use computer information network resources without written permission;
  • 2) Delete, modify, or add to the functions of computer information networks without written permission;
  • 3) Delete, modify, or add to data and application programs stored, processed, or transmitted in computer information networks without written permission;
  • 4) Intentionally create or distribute computer viruses (including trojans) or other destructive programs, steal other users' accounts, passwords, or private information, or control others' computers;
  • 5) Other behaviors that endanger computer information network security.
• (5) Without written permission, use Surgepix for advertising, indirect advertising, word-of-mouth marketing, product sales, pyramid schemes, or similar activities.
• (6) Copy, duplicate, sell, resell, or use any part of the Surgepix-related services or their access for any other commercial purpose.
• (7) Post content that is not a resume, such as opinions, notices, commercial advertisements, or other non-resume content.
• (8) Delete or modify materials posted by other individuals or companies, other than your own posts.
• (9) Without authorization, print, copy, distribute, sell, or otherwise use any personal information of employees or commercial information of employers.
• (10) Without Surgepix's consent, send emails, make phone calls, write letters, or otherwise make unsolicited contact with individuals or companies that have posted information.

  7.3 User Information

  User information is your 'business card' on Surgepix. When filling in personal information, please comply with relevant national laws and regulations. For non-compliant content, Surgepix has the right to prompt users to modify or delete the relevant information, clear non-compliant information, or suspend accounts depending on the severity. Non-compliant personal information content includes but is not limited to:
  (1) Profile Photos:
• • 1) Misappropriating others' photos, including but not limited to portraits of Party and State leaders and public figures from all walks of life;
  • 2) Images containing advertising promotions, various links, QR codes, contact information, or similar content;
  • 3) Images containing personal attacks, abusive language, insults, provocation, vulgar language, or other uncivilized content;
  • 4) Images containing national organizations or other institutional logos;
  • 5) Other images that violate laws and regulations.
    (2) Other Information:
  • 1) Impersonating others' information;
  • 2) Content containing advertising promotions, various links, QR codes, contact information, or similar content;
  • 3) Content containing personal attacks, abusive language, insults, provocation, vulgar language, or other uncivilized content;
  • 4) Other content that violates laws and regulations.
    (3) Personal Account:
  • 1) Fabricating false enterprise information for impersonation purposes;
  • 2) Seeking improper benefits by registering multiple accounts;
  • 3) Other behaviors that disrupt the normal order of Surgepix or affect the security of platform operations.

VIII. Source Statement

Surgepix (hereinafter 'Surgepix'), the big data software developed and operated by Surgepix, is a platform for querying publicly available information such as industry data. Based on user instructions, Surgepix's search engine system automatically generates, in a non-manual manner, relevant information that has been legally made public as queried by the user, enabling users to find and use that publicly available information.

Surgepix data content is collected from the internet, created by third-party users, and independently researched and organized. The data and content originate from the internet for the purpose of sharing valuable perspectives. All information and materials are for reference purposes only. The platform does not guarantee that all information and materials are completely accurate, nor does it imply endorsement or recognition of the views expressed therein. Content represents only the views of the original author and is unrelated to Surgepix. All responsibility arising from the authenticity of statements and views shall be borne by the users themselves; Surgepix shall not bear any responsibility. If content needs to be reprinted or cited, users must independently contact the copyright holder and bear the related risks and costs; Surgepix shall not bear any responsibility.

IX. User Privacy

Surgepix absolutely respects users' personal privacy rights. Surgepix will never publicly edit or disclose any user information to third parties, unless required by law, mandatory government directive, or with the user's own consent. For specific details, please refer to the Privacy Policy.

X. Jurisdiction and Applicable Law

10.1 The formation, implementation, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. You agree that any disputes arising from this Agreement or the use of Surgepix services shall be submitted to the court where Surgepix's limited company is located for resolution by litigation.

10.2 You understand and agree that, due to service upgrades, we have the right to modify this Agreement. We will announce relevant modifications on our platform and related software products. Please stay informed. Continued use of Surgepix and related services after modifications to this Agreement are announced shall indicate that you have agreed to and accepted the changes to this Agreement.

XI. Copyright Policy

Unless otherwise declared by Surgepix, all rights and intellectual property rights (including but not limited to copyright, trademark rights, patent rights, trade secrets, and all other related rights) to all products, technologies, software, programs, data, and other information (including but not limited to text, images, pictures/photos, audio, video, diagrams, colors, layout designs, electronic documents, logos, the word and graphics 'Surgepix' and their combinations, as well as other marks, badges, product and service names of the Surgepix platform) belong to Surgepix. Without Surgepix's permission, no person may without authorization use (including but not limited to monitoring, copying, distributing, displaying, mirroring, uploading, or downloading content or information on the Surgepix platform through any bot, spider, or other program or device), display, use, or otherwise process such content, or represent to others that they have the right to do so. Otherwise, Surgepix reserves the right to take all lawful means to protect its legitimate interests. Without Surgepix's permission, no person may without authorization (including but not limited to copying, distributing, displaying, mirroring, uploading, or downloading in an unlawful manner) use, or affect Surgepix's normal services in unconventional ways (such as maliciously interfering with Surgepix data). No person may use machines (such as software programs) to automatically obtain Surgepix data without authorization. Once such an event occurs, Surgepix has the right to immediately suspend services without refund, and will take legal measures to pursue legal liability.

XII. Final Interpretation

The final right of interpretation of the terms of this Agreement belongs to Surgepix.

You confirm that you have carefully read all of the above terms and fully accept the content of the above terms.
